Fragrance Quality Agreement: What to Include in Your Supplier Contract

A purchase order tells a factory what to ship. A quality agreement tells them how to make it, how to prove it is right, and what happens when it is not. For fragrance products, where small formulation drifts change the scent, the safety profile, and the regulatory status, a written quality agreement is the difference between a long-term partnership and a string of disputes.

This article outlines the clauses every fragrance quality agreement should contain, with practical wording for contracts with Chinese manufacturers.

1. Scope and Definitions

Define what the agreement covers:

  • Product list, by SKU code and description, attached as Annex A.
  • The relationship between the quality agreement and the master supply agreement (the quality agreement should prevail on quality matters).
  • Definitions of key terms: batch, lot, non-conformance, critical defect, major defect, minor defect, OOS (out of specification), OOT (out of trend).
  • Applicable standards: ISO 9001, ISO 22716 (cosmetic GMP) where relevant, IFRA Standards current amendment, EU Regulation (EC) No 1223/2009, EU CLP Regulation (EC) No 1272/2008, US 21 CFR 700-740 and MoCRA.

2. Specification Documents

The agreement must reference, by version and date, the controlling documents:

  • Product specification sheet with organoleptic, physical, chemical, and microbiological limits.
  • Raw material specifications for fragrance compounds, bases, waxes, vessels, and closures.
  • Packaging specification with dimensions, materials, and decoration tolerances.
  • Label artwork with revision number.
  • Test methods, citing ISO, ASTM, IFRA, or in-house SOP numbers.

Each specification should be a numbered annex. The agreement should state that no change to a specification is valid unless both parties sign a revision.

3. Raw Material Control

Required clauses:

  • Approved supplier list for critical raw materials, with no substitution without written approval.
  • Incoming inspection requirements: identity test, certificate of analysis verification, organoleptic check.
  • Certificate of Analysis (CoA) per raw material lot, retained for a defined period (typically five years for cosmetic inputs).
  • Allergen and IFRA conformity certificates per fragrance compound lot.
  • Restricted Substance List (RSL) declaration, updated annually.
  • Traceability from raw material lot to finished goods batch.

4. Manufacturing and Process Control

  • Documented batch manufacturing records (BMR) for every production batch, retained for at least the product shelf life plus one year.
  • Defined critical process parameters: mixing speed, temperature, fill weight, torque on closures.
  • Equipment cleaning and changeover procedures, especially between allergen-containing and allergen-free products.
  • Environmental controls where relevant (temperature, humidity for candle pouring).
  • GMP compliance per ISO 22716 for cosmetic products, with audit rights.

5. Quality Control and Release

  • In-process and finished-product test plans, with sampling per ISO 2859-1 (ANSI/ASQ Z1.4) at a defined AQL.
  • Typical AQLs for fragrance products: critical defects 0, major defects 1.0-2.5, minor defects 4.0.
  • Release authority: who signs the batch release, and the records they review.
  • CoA per finished batch, reporting actual values against the specification.
  • Retained samples: a defined number of units per batch, stored for the shelf life plus a defined period.
  • Stability monitoring: ongoing real-time and accelerated stability per ICH Q1A or industry equivalents.

6. Documentation Deliverables

List the documents the factory must provide per shipment:

  • Certificate of Analysis.
  • Certificate of Conformity to specification.
  • Safety Data Sheet (current revision).
  • IFRA Certificate of Conformity (current amendment).
  • Allergen declaration.
  • Batch manufacturing record summary, on request.
  • Test reports from third-party laboratories, where specified.

State the format (PDF, signed and stamped), the language (English at minimum), and the delivery timing (before shipment, with the shipping documents).

7. Change Control

This clause prevents the most common dispute: silent reformulation.

  • Any change to formulation, raw material source, process, packaging, or test method requires prior written notice.
  • The notice period should be defined (commonly 60-90 days).
  • The buyer may request re-validation, new stability data, and updated regulatory documents.
  • Changes affecting IFRA status, allergen profile, or transport classification require explicit buyer approval before implementation.

8. Non-Conformance, Complaints, and Recalls

  • Definition of non-conformance and the timeline for reporting (typically 24-72 hours from discovery).
  • Complaint handling procedure with response and resolution timelines.
  • Root cause analysis methodology (8D, 5 Whys, or Ishikawa) and required deliverables.
  • Recall and withdrawal procedure, including mock recall frequency (annually is common).
  • Allocation of recall costs based on fault.
  • Regulatory notification obligations (EU RAPEX/Safety Gate, US CPSC, FDA, etc.).

9. Audit Rights

  • The buyer’s right to audit the factory, with notice (typically 10-30 business days) and frequency (annually or biennially).
  • Access to records, personnel, and subcontractors.
  • Third-party audit acceptance (BSCI, Sedex/SMETA, ISO certification bodies) where mutually agreed.
  • Corrective action plans for audit findings, with deadlines.

10. Regulatory and Compliance Clauses

  • Compliance with destination market regulations, listed by market.
  • Document support for CPNP, PIF, CPSR, FDA MoCRA, Health Canada CNF, and equivalent filings.
  • Cooperation with market surveillance authorities.
  • Provision of full ingredient disclosure to the buyer’s safety assessor under appropriate confidentiality.

11. Intellectual Property and Confidentiality

  • Ownership of custom formulations, packaging designs, and brand assets.
  • Confidentiality of formulations shared by either party.
  • Non-use of the buyer’s molds, artwork, and trademarks for other customers.

12. Liability, Indemnity, and Insurance

  • Product liability insurance coverage (typical minimum USD 1-5 million per occurrence, depending on market).
  • Indemnity for non-conforming product, regulatory fines, and recall costs caused by the factory.
  • Limitation of liability carve-outs for gross negligence and willful misconduct.

13. Term, Termination, and Transition

  • Agreement term and renewal mechanics.
  • Termination for cause and for convenience, with notice periods.
  • Transition assistance: continued supply for a defined period, transfer of tooling and artwork, handover of records.

14. Governing Law and Dispute Resolution

  • Governing law (commonly Chinese law for manufacturing disputes, with arbitration at CIETAC in Beijing or Shanghai, or HKIAC in Hong Kong for neutrality).
  • Language of the contract; bilingual contracts should specify which version prevails.
  • Escalation steps before arbitration.

A Practical Tip

Keep the quality agreement separate from the commercial agreement. Pricing, payment terms, and Incoterms change frequently; quality expectations should not. A standalone quality agreement with numbered annexes is easier to maintain over a multi-year relationship.
